BOXIT TERMS AND CONDITIONS
NOTICE
When ordering through BOXIT’s services you, as “Shipper, are agreeing, o your behalf and on behalf of anyone else with an interest in the Shipment, that the Terms and Conditions shall apply from the time BOXIT accepts the shipment unless otherwise agreed in writing by an authorized officer of BOXIT . “Shipment” means all documents or parcels that travel under one waybill and which may be carried by any means BOXIT choses, including, air, road or any other carrier. A “waybill” shall include any label produced by BOXIT automated systems, waybill, or consignment note sand shall incorporate these Terms and Conditions. Every Shipment is transported and a limited liability basis as provided herein. If Shipper requires greater protection, then insurance may be arranged at an additional cost. (Please see below for further information). “BOXIT ” means any member of the BOXIT Network.
CUSTOMS, IMPORT AND EXPORTS
BOXIT may perform any of the following activities on Shipper’s behalf in order to provide its services to Shipper: 1. Complete any documents, amend product or service codes, and pay any duties or taxes required under applicable laws and regulations, 2. Act as Shipper’s forwarding agent for customs and export control purposes and as Receiver solely for the purpose of designating a customs broker to perform customs clearance and entry and 3. Redirect the Shipment to Receiver’s import broker or other address upon request by any person who BOXIT believes in its reasonable opinion to be authorized.
UNACCEPTABLE SHIPMENTS
Shipper agrees that its Shipment is acceptable for transportation and is deemed unacceptable if:
It is classified as hazardous material, dangerous goods, prohibited or restricted articles by IATA (International Air Transport Association), ICAO (International Civil Aviation Organization), ADR (European Road Transport Regulation on dangerous goods), any applicable government department or other relevant organization;
No customs declaration is made when required by applicable customs regulations;
It contains counterfeit goods, animals, bullion, currency, banderols/tax stickers, bearer from negotiable instruments, precious metals and stones: real or imitation firearms, parts thereof, weapons, explosives and ammunition; human remains, pornography or illegal narcotics/drugs.
It contains any other item which BOXIT decides cannot be carried safely or legally, or
Its packing is defective or inadequate for transportation.
DELIVERIES AND UNDELIVERABLES
Shipments cannot be delivered to PO Boxes or Postal Codes. Shipments are delivered to the Receiver’s address given by Shipper (which in the case of mail services shall be deemed to be the first receiving postal service) but not necessarily to the named Receiver personally. Shipments to addresses with a central receiving area will be delivered to that area. If the Shipment is deemed to be unacceptable, or it has been undervalued for customs purposes, or Receiver cannot be reasonably identified or located, or Receiver refuses delivery or to pay for delivery, BOXIT shall use reasonable efforts to return the Shipment to Shipper at Shipper’s cost, failing which the Shipment may be released, disposed of or sold by BOXIT , without incurring any liability whatsoever to Shipper or anyone else, with the proceeds applied against service charges and related administrative costs and the balance of the proceeds of a sale to be returned to Shipper.
INSPECION
BOXIT has the right to open and inspect a Shipment without notice.
SHIPMENT CHARGES
BOXIT ’s Shipment charges are calculated according to the higher of actual or volumetric weight and any Shipment may be re-weighed and re-measured by BOXIT to confirm this calculation. Shipper shall pay or reimburse BOXIT for all Shipment charges, ancillary charges, duties and taxes owed for services provided by BOXIT or incurred by BOXIT on Shipper’s or Receiver’s or any third party’s behalf and all claims, damages, fines and expenses incurred if the Shipment is deemed unacceptable for transport as described in Section 2.
BOXIT LIABILITY
BOXIT ’s liability is strictly limited to direct loss and damage only and to the per kilo/lb. limits in Section 6. All other types of loss or damage are excluded (including but not limited to lost profits, income, interest, future business), whether such loss or damage is special or indirect, and even if the risk of such loss or damage was brought to BOXIT attention before or after acceptance or the Shipment. If a Shipment combines carriage by air, road or other mode of transport, it shall be deemed to have been carried by air. BOXIT ’s liability in respect of any one Shipment transported without prejudice to Sections 7-11, is limited to its actual cash value and shall not exceed: USD$10.00/kilogram or USD$4.54/lb. for Shipments transported y air or non-road mode of transportation; or USD$5.00/kilogram or USD$ 2.27 for Shipments transported by road. Claims are limited to one claim per Shipment settlement of which will be full and final settlement for all loss or damage in connection therewith. If Shipper regards these limits as insufficient it must make a special declaration of value and request insurance as described in Section 8. (Shipment Insurance) or make its own insurance arrangements, failing which Shipper assumes all risks of loss or damage.
TIME LIMITS FOR CLAIMS
All claims must be submitted in writing to BOXIT within thirty (30) days from the date that BOXIT accepted the Shipment, failing which BOXIT shall have no liability whatsoever.
SHIPMENT INSURANCE
BOXIT can arrange insurance for Shipper covering the actual cash value in respect of loss of or physical damage to the Shipment, provided the Shipper completes the insurance section on the front of the waybill or requests it via BOXIT automated systems and pays the applicable premium. Shipment insurance does not cover indirect loss or damage, or loss or damage caused by delays.
DELAYED SHIPMENTS AND MONEY-BACK GUARANTEE
BOXIT will make every reasonable effort to deliver the Shipment according to BOXIT’s regular delivery schedules, but these schedules are not binding and do not form part of the contract. BOXIT is not liable for any damage or loss caused by delays. Certain services have a money-back guarantee, which provides for a credit or refund for delay of all or a part of the Shipment’s transport charges in some cases. The Money-Back Guarantee Terms and Conditions are available on the BOXIT website (www.boxit.shop) or from BOXIT Customer Service.
CIRCUMSTANCES BEYOND BOXIT’S CONTROL
BOXIT is not liable for any loss or damage arising out of circumstances beyond BOXIT’s control. These include but are not limited to: electrical or magnetic damage to, or erasure of, electrical or photographic images, data or recordings; any defect or characteristic related to the nature of the Shipment, even if known to BOXIT; any act or omission by a person not employed or contracted by BOXIT e.g. Shipper, Receiver, third party, customs or other government official; “Force Majeure”- e.g. earthquake, cyclone, storm, flood, fog, war, plane crash or embargo, riot or civil commotion, industrial action.
INTERNATIONAL CONVENTIONS
If the Shipment is transported by air and involves an ultimate destination or stop in a country other than the country of departure, the Warsaw Convention or the Montreal Convention, as applicable, governs. For international road transportation, the Convention for International Carriage of Goods by Road (CMR) may apply. These conventions limit BOXIT liability for loss or damage.
SHIPPER’S WARRANTIES AND INDEMNITY
Shipper shall indemnify and hold BOXIT harmless for any loss or damage arising our of Shipper’s failure to comply with any applicable laws or regulations and for Shipper’s breach of the following warranties and representations:
All information provided by Shipper or its representatives is complete and accurate;
The Shipment was prepared in secure premises by Shipper’s employees;
Shipper employed reliable staff to prepare the Shipment;
Shipper protected the Shipment against unauthorized interface during preparation, storage and transportation to BOXIT;
The Shipment is properly marked and addressed and packed to ensure safe transportation with ordinary care in handling;
All applicable customs, import, export and other laws and regulations have been complied with; and
Shipper’s authorized representative has signed the waybill and the Terms and conditions constitute binding and enforceable obligations of Shipper.
ROUTING
Shipper agrees to all routing and diversion, including the possibility that the Shipment may be carried via intermediate stopping places.
GOVERNING LAW
Any dispute arising under or in any way connected with these Terms and Conditions shall be subject, for the benefit of BOXIT, to the non-exclusive jurisdiction of the courts of, and governed by the law of, the country of origin of the Shipment and Shipper irrevocably submits to such jurisdiction, unless contrary to applicable law.
SEVERABILITY
The invalidity or unenforceable of any provision shall not affect any other part of these Terms and Conditions.
BOXIT TERMINOS Y CONDICIONES
AVISO
Al contratar los servicios de BOXIT , usted en calidad de “Remitente”, acuerda, en su nombre y en nombre de cualquier persona interesada en el Envío, que los Términos y Condiciones se aplicaran desde el momento en el que BOXIT acepte el Envío, salvo acuerdo en contrario por escrito suscrito por un oficial autorizado de BOXIT . Sus derechos establecidos por la Ley derivados de cualquier opción de servicio definida, para la cual se haya efectuado un pago adicional, no sufren modificaciones. “Envío” significa todos los documentos o paquetes que viajan amprados por una guía de embarque y que puedan ser transportados por el medio que BOXIT elija, incluido el transporte aéreo, por carretera o a través de cualquier otro transportista. Una “guía de embarque” debe incluir cualquier etiqueta producida por los sistemas automatizados BOXIT , guía aérea o nota de envío y también incluir estos Términos y Condiciones. Cada Envío se transporta sobre una base de responsabilidad limitada de acuerdo con lo establecido en el presente Contrato. Si el Remitente requiriera una protección mayor, puede concertar un seguro pagado por un costo adicional. (Consulte mas adelante si dese mayor información). La expresión “BOXIT ” incluye a cualquier miembro de la red BOXIT .
ADUANAS, EXPORTACIONES E IMPORTACIONES
BOXIT podrá realizar cualquiera de las siguientes actividades en nombre del Remitente con el fin de prestarle sus servicios: 1. Completar cualquier documento , modifica códigos de producto o servicio y pagar cualquier derecho aduanero o impuesto exigido en virtud de la legislación y las normas aplicables, 2. Actuar como agente de reenvío del Remitente a efectos de aduanas y control de exportaciones y como Destinatario exclusivamente a efectos de designar al agente de aduanas para tramitar la liquidación y la entrada, y 3. Redirigir el Envío al agente de importaciones del Destinatario o otra dirección a petición de cualquier persona que BOXIT crea autorizada a su razonable juicio.
ENVIOS INACEPTABLES
El Remitente acuerda que su Envío es aceptable para el transporte y que se considera inaceptable si:
Esta clasificado como sustancia toxica, mercancías peligrosas, artículos prohibidos o restringidos por la IATA (International Air Transport), la ICAO (Internatonal Civil Aviation Organization), o cualquier organismo del gobierno apropiado u otra organización pertinente,
No se realiza una declaración de aduanas alguna cuando lo exija cualquier reglamento aduanero aplicable; o
BOXIT decide que no puede transportar un articulo de forma seguro o legal (dichos artículos incluyen pero no están limitados a: animales, oro en lingotes, efectivo, instrumentos negociables al portador, metales, piedras preciosas, armas, piezas de las mismas y municiones, restos humanos, pornografía y narcóticos/drogas ilegales).
ENTREGAS E IMPOSIBLIDADES DE ENTREGA
Los envíos no pueden ser enviados a apartaos o códigos postales. Los envíos son entregados en la dirección del Destinatario facilitada por el Remitente (lo que en caso de servicios de correo será considerado el primer servicio postal de recibo), si bien no necesariamente al Destinatario nombrado personalmente. Los envíos a direcciones con un área central de recepción serán entregados en dicha aérea. Si el Destinatario se rehúsa a aceptar o pagar la entrega, o si no se puede identificar o localizar al Destinatario, BOXIT hará todos los esfuerzos razonables para devolver el Envío al Remitente por cuenta de este y, de no ser posible, el Envío podrá ser liberado, enajenado o vendido por parte de BOXIT si incurrir en ningún tipo de obligación hacia el Remitente ni ninguna otra persona, aplicándose las ganancias contra los cargos del servicio y costos administrativos relacionados y devolviéndose el resto de ganancias generadas en la venta al Remitente.
INSPECCION
BOXIT tiene el derecho de abrir e inspeccionar un Envío sin notificación previa al Remitente.
CARGOS DE ENVIO Y FACTURACION
Los cargos del Envío de BOXIT se calculan en función del peso real o volumétrico, aplicándose el mayor, y cualquier Envío podrá ser pesado y medido de nuevo por BOXIT para confirmar este calculo. El Remitente pagara o reembolsara a BOXIT todos los cargos del Envío, cargos de almacenamiento, derechos aduaneros e impuestos adeudados por los servicios prestados o incurrido por BOXIT en nombre del Remitente, del Destinatario o de cualquier tercero, y todos los gastos por reclamaciones, daños y perjuicios, multas y otros conceptos incurrido si el Envío ser considera inaceptable para el transporte tal y como se describe en la sección 2.
RESPONSABILIDAD DE BOXIT
BOXIT celebra el contrato con el Remitente asumiendo que la responsabilidad de BOXIT se limita estrictamente a la pérdida directa y en función de los limites por kilo/lb que se establecen en la presente sección 6. Quedan excluidos todos los demás tipos de perdidas o daños (incluyendo pero no limitado al lucro cesante, ganancias, intereses, fututos negocios), con independencia de que dicha perdida o daño sea especial o indirecto, o incluso si se hubiera avisado a BOXIT sobre el riesgo de dicha perdida o daño antes o después de la aceptación del Envío, dado que el Remitente puede concertar un seguro contra riesgos especiales. Si un Envío combina el transporte aéreo, por carretera u otro modo de transporte, se presumirá que cualquier perdida o daño fue ocasionado durante el tramo aéreo de dicho transporte a menos que se demuestre lo contrario. La responsabilidad de BOXIT en relación con cualquier Envío transportado, sin prejuicio de lo establecido en las secciones 7-11, esta limitada a la cantidad mayor entre 100 dólares o al valor monetario real, pero que no excederá en todo caso de:USD$10.00/kilogramo o USD$4.54/libra para los envíos transportados por aire o por otro medio de transporte distinto de carretera; o USD$5.00/kilogramo o USD$2.27/libra para los Envíos transportados por carretera. (No aplicable en Estados Unidos)Los reclamos se limitaran a uno por Envío contratado y su liquidación se considerara definitiva por todas las perdidas y daños ocasionados en relación con el mismo. Si el Remitente considera que estos limites son insuficientes, debe efectuar una declaración de valor especial y solicitar un seguro de acuerdo con lo descrito en la sección 8 (Seguro de Envío) o contratarlo por sus propios medios, a falta de lo cual el Remitente asume todos los riesgos de perdidas o daños.
PLAZO LIMITE PARA RECLAMOS
Todos los reclamos habrán de ser enviados por escrito a BOXIT en un plazo de treinta (30) días a partid de la fecha en la que BOXIT acepto el Envío, a falta de lo cual BOXIT no asumirá responsabilidad alguna.
SEGURO DEL ENVIO
BOXIT puede concretar un seguro para el Remitente que cubra el valor monetario real en caso de perdida o daño físico del Envío, siempre y cuando el Remitente haya llenado la sección del seguro en la guía del embarque o lo solicite a través de los sistemas automatizados de BOXIT y pague la prima aplicable. El seguro de envío no cubre perdidas o daños indirectos ni las perdidas o daños ocasionados por demoras.
ENVIOS ATRASADOS
BOXIT hará todo esfuerzo razonable para entregar el Envío de conformidad con los plazos normales de entrega de BOXIT , pero estos no están garantizado y no forman parte del contrato. BOXIT no es responsable por ninguna perdida o daño ocasionados por atrasos.
CIRCUNSTANCIAS AJENAS AL CONTROL BOXIT
BOXIT no es responsable de ninguna perdida o daño que se derive de circunstancias ajenas a su control. Estas circunstancias incluyen, pero no se limitan a: desastres naturales (por ejemplo: terremotos, ciclones, tormentas, inundaciones, niebla); causa de fuerza mayor (por ejemplo: guerras, accidentes o incautaciones de aviones o transporte terrestre); cualquier defecto o característica relacionada con la naturaleza del Envío, aunque sea conocida por BOXIT ; disturbios o conmoción civil; cualquier acción y omisión causada por cualquier persona que no sea empleado o contratado por BOXIT , como por ejemplo, otros organismos gubernamentales, acciones de otras empresas; y daños eléctricos o magnéticos, o borrado de imagines, datos o grabaciones eléctricas o fotográficas.
CONVENCION DE VARSOVIA
Si el Envío es trasportado por avión e incluye un destino final o escala en un país distinto del país de origen, será de aplicación la Convención de Varsovia, la cual, en la mayoría de los casos, limita la responsabilidad de BOXIT en caso de daño o perdida.
GARANTIAS E INDEMNIZACION DEL REMITENTE
El Remitente indemnizara y mantendrá ilesa a BOXIT de cualquier perdida o daño que se derive del incumplimiento por parte del Remitente de cualquier legislación o norma aplicable y del incumplimiento por parte del Remitente de cualquiera de las siguientes declaraciones y garantías:
Que toda información facilitada por el Remitente o sus representantes es completa y exacta;
Que el Envío fue preparado en instalaciones seguras por los empleados del Remitente;
Que el Remitente contrato al personal de confianza para preparar el Envío;
Que el Remitente protegió el Envío contra interferencias no autorizadas durante su preparación, almacenamiento y transporte a BOXIT ;
Que el Envío esta debidamente identificado, dirigido y empaquetado de forma que garantice el transporte seguro con el cuidado ordinario en el manejo;
Que se han cumplido todas las legislaciones y normas aplicables de aduanas, importación, exportación y similares; y
Que la guía del embarque haya sido firmada por un representante autorizado del Remitente y los Términos y Condiciones constituyen obligaciones vinculantes y exigibles al Remitente.
RUTA
El Remitente esta de acuerdo con toda ruta y desviación, incluida la posibilidad de que el Envío pueda transportarse pasando por lugares de escala intermedios.
LEGISLACION APLICABLE
Cualquier controversia que se derive o este relacionado en modo alguno con estos Términos y Condiciones estará sujeta, para el beneficio de BOXIT , a la jurisdicción de los Tribunales del país de origen del Envío y se regirá igualmente por la legislación de dicho país. El Remitente se somete irrevocablemente a dicha jurisdicción, salvo disposición legal en contrario.
DIVISIBILIDAD
La nulidad o el incumplimiento de cualquier clausula no afectara ninguna otra parte de estos Términos y Condiciones.
